Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of products and services offered by Polaris Works AB (Swedish org. no. 559587-6102), Gamla Lyckebyvägen 25 A, 13670 Vendelsö, Sweden (“Polaris Works”, “we”, “us”), through the website northstarframework.com and related services.

VAT registration is pending. A VAT registration number will be displayed on invoices and updated in these Terms once registered.

1. Scope and structure

These Terms consist of general provisions (Sections 1–3), terms for the NSF Board subscription service for business customers (Part A), and terms for digital book purchases (Part B).

By creating an NSF Board account, you also accept our Data Processing Addendum (“DPA”), which forms part of your agreement with us for NSF Board. Consulting and other professional services are not covered by these Terms and require a separate agreement.

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Material changes to NSF Board subscription terms will be communicated to workspace owners by email or in-product notice where practicable. Continued use after changes take effect constitutes acceptance, except where applicable law requires otherwise.

Part A — NSF Board (Business Customers)

The NSF Board is offered exclusively to businesses and other organisations (“B2B”). It is not intended for consumer use.

A1. The service

NSF Board is a cloud-based workspace that helps organisations operationalise the North Star Framework by making direction, priorities, and collaborative work visible. Features include board views (Execution, Planning, Followup), cycles, roles (owner, editor, viewer), invitations, and snapshots, as described on our website and in the product.

We may update, improve, or modify features over time. We do not guarantee that any particular feature will remain available indefinitely.

A2. Account registration and authority

To subscribe, you must provide accurate registration information, including your name, email address, and company name. By creating an account and accepting these Terms, you represent and warrant that you are authorised to bind the customer organisation (“Customer”, “you”) and that you accept these Terms and the DPA on its behalf.

The first registered user becomes the workspace owner unless otherwise assigned according to our product rules. The owner is responsible for managing subscription, billing, and member access.

A3. Subscription plans and billing

NSF Board is offered on paid subscription plans (e.g. Starter, Growth, Scale) with defined seat limits for owners, editors, and viewers. Current plans and prices are published on our pricing page and may change for new subscriptions.

  • All plans require payment by credit or debit card via Stripe at signup.
  • Subscriptions are billed monthly or annually in EUR, as selected at checkout.
  • Subscriptions renew automatically until cancelled through the Stripe Customer Portal.
  • Upgrades take effect immediately; Stripe prorates charges for the remainder of the current billing period.
  • Downgrades are blocked if your current seat usage exceeds the target plan's limits. You must remove excess members before downgrading. Once eligible, downgrades take effect immediately; unused time on the previous plan becomes Stripe credit applied to future invoices (no cash refund).

Plan changes, payment method updates, invoice access, and cancellation are managed through Stripe's hosted Customer Portal, accessible from Settings > Subscription in the product.

A4. Cancellation and payment failure

When the owner cancels a subscription, it remains active until the end of the current paid billing period. No refund is issued for the remaining period. After the period ends, the workspace becomes read-only.

If payment fails, we provide a 7-day grace period with full access and display a warning in the product. Stripe may retry payment during this window. If payment is not successful within 7 days, the workspace becomes read-only for all roles. The owner may still access Settings > Subscription to update payment details. Full access is restored immediately once payment succeeds.

A5. Data retention and deletion

After a subscription ends, Customer data is retained for 90 days during which the workspace is read-only. After 90 days, data is automatically deleted unless applicable law requires otherwise.

The workspace owner may initiate immediate deletion of all workspace data via Settings > Subscription (“Delete all my data”), which requires password confirmation. This cancels any active Stripe subscription, removes billing data from Stripe where applicable, and suspends the workspace. See our Privacy Policy and the DPA for details on personal data processing.

A6. Customer content and intellectual property

Customer retains all rights to content uploaded or created in its workspace (“Customer Content”). Customer grants us a limited licence to host, process, and display Customer Content solely to provide the service.

We retain all rights in the NSF Board software, the North Star Framework branding, documentation, and related materials. These Terms do not grant Customer any rights to our intellectual property except the limited right to use the service during an active subscription (or read-only period where applicable).

A7. Acceptable use

Customer and its users must not:

  • Use the service for unlawful purposes or in violation of applicable law.
  • Attempt to gain unauthorised access to the service, other accounts, or our systems.
  • Interfere with or disrupt the service, including by excessive automated requests.
  • Upload malware or content that infringes third-party rights.
  • Reverse engineer, decompile, or attempt to extract source code except where permitted by mandatory law.
  • Resell, sublicense, or make the service available to third parties outside Customer's organisation.

We may suspend or terminate access if Customer materially breaches these Terms or if required for security or legal compliance, with notice where practicable.

A8. Service availability and support

We aim to keep NSF Board available and to address faults without undue delay. We will use commercially reasonable efforts to provide the service with minimal interruption, disruption, delay, or other faults.

We aim to respond to support requests within 48 hours on regular business days in Sweden (09:00–17:00 CET/CEST).

Unless otherwise agreed in writing between the parties, we target the following for technical faults, measured from the time the fault is properly reported in accordance with our instructions until troubleshooting has commenced:

  • Critical faults: 48 hours
  • Non-critical faults: 72 hours

We classify faults based on their assessed effect on core NSF Board functionality. Enterprise customers may negotiate separate service levels in writing.

If we have not met the service levels above for a given calendar month, Customer may request a reduction in subscription fees for that month, proportional to the time Customer could not reasonably use NSF Board, capped at thirty percent (30%) of the subscription fee payable for that month. Remedies under this Section are Customer's sole remedy for service availability issues under these Terms.

NSF Board relies on third-party providers (including hosting, database, authentication, email, and payment services). Outages, changes, or discontinuation by those providers may affect availability. Customer accepts that certain functionality may be temporarily or permanently affected by third-party operational issues.

The service may be unavailable from time to time due to planned or unplanned maintenance or updates. We will give reasonable advance notice of planned downtime where practicable.

A9. Disclaimer and limitation of liability

Except as expressly stated in these Terms, the service is provided “as is” and “as available”. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or related to NSF Board or Part A of these Terms shall not exceed the total subscription fees paid by Customer to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under mandatory applicable law, including liability for fraud or wilful misconduct.

A10. Governing law and disputes (NSF Board)

Part A of these Terms and the DPA are governed by the laws of Sweden, without regard to conflict-of-law principles. Disputes shall be submitted to the exclusive jurisdiction of the courts of Sweden, with Stockholm District Court as the court of first instance, unless mandatory law provides otherwise.

Part B — Digital Book Purchase

These terms apply when you purchase a digital edition of “North Star Framework from the Trenches” (“the Book”) through our website.

B1. Product and delivery

The Book is sold as a digital file in ePub format. You choose either the English or Swedish edition at purchase. Delivery is electronic and begins immediately after successful payment — for example via download link or email instructions.

Prices are displayed at checkout and include applicable VAT where required. VAT registration is pending; VAT details will appear on invoices once our registration is complete.

B2. Right of withdrawal (EU consumers)

If you are a consumer within the European Union, you normally have a 14-day right of withdrawal for distance contracts. For digital content delivered immediately, this right does not apply if you expressly consent to immediate delivery and acknowledge that you lose your right of withdrawal once delivery begins.

At checkout you must confirm that you request immediate delivery of the digital Book and that you acknowledge loss of the withdrawal right. If you do not confirm, we will not begin delivery.

B3. Licence to use the Book

Upon payment, we grant you a non-exclusive, non-transferable licence to:

  • Download and read the Book for personal, non-commercial use on your own devices.
  • Share the Book within your organisation (employees and contractors) for internal, non-commercial use.
  • Quote brief excerpts with clear attribution to the Book and author (Martin Börlin / North Star Framework).

You must not:

  • Publicly redistribute, resell, or sublicense the Book or substantial portions thereof.
  • Upload the file to public file-sharing services or make it freely available online.
  • Reproduce substantial portions beyond brief attributed quotations.
  • Use the Book for commercial training or publication without our prior written consent.

All intellectual property rights in the Book remain with Polaris Works AB and/or the author.

B4. Refunds and technical support

Refunds are not offered as standard once digital delivery has begun and you have waived your withdrawal right. If you experience a genuine technical issue (for example the file is corrupted, the download fails repeatedly, or you received the wrong edition), contact support@northstarframework.com. We will attempt to resolve the issue by providing a replacement download or alternative assistance.

If we cannot resolve a genuine technical issue, we may offer a refund at our sole discretion. This goodwill approach does not create a general right to refunds for change of mind or dissatisfaction with content.

B5. Governing law and disputes (Book)

Part B is governed by the laws of Sweden. If you are a consumer in the EU, you benefit from any mandatory consumer protection provisions of the law of your country of residence. Disputes shall be submitted to the courts of Sweden, with Stockholm District Court as the court of first instance, unless mandatory consumer law requires otherwise.
